Bulgarian Commercial Register: amendments adopted to speed up the processing of business applications

Bulgaria is changing how applications to the Commercial Register are processed. Financial statements will be handled in a separate stream, so that the backlog of documents does not hold up the registration of changes in companies.

On 1 October 2026, parliament adopted at second reading the amendments to the Law on the Commercial Register and the Register of Non-Profit Legal Entities — Закон за търговския регистър и регистъра на юридическите лица с нестопанска цел. The amendments are intended to reduce the administrative burden and speed up the work of the register. bta.bg

Financial statements will be processed separately

A separate stream is provided for applications for the publication of:

  • annual financial statements — AFS;
  • activity reports;
  • declarations of no activity.

According to the Ministry of Justice, the accumulation of these documents should no longer prevent other applications in the same company’s registration file from being examined. Processing of the statements themselves will continue. 24plovdiv.bg

What this means for company owners

Separating the streams should reduce delays in registering important business changes: a change of manager, of the registered address or of the amount of capital.

For example, if a company has filed a financial statement that is still awaiting processing, that application should not block the examination of subsequent changes in its registration file. Removing precisely this dependency is one of the main aims of the reform. 24plovdiv.bg

Why the changes were needed

The scale of the accumulated statements has become a serious problem. According to figures presented during the discussion of the bill, by the end of September 2026 there were expected to be between 900 thousand and 1 million unexamined applications for the publication of annual financial statements. Up to 30 additional specialists

To strengthen the Registry Agency, provision has been made for hiring up to 30 additional specialists above the approved headcount.

Appointments may be made over a two-year period, while fixed-term employment contracts may be concluded for one year. The two-year period for hiring staff and the term of an individual contract should therefore be distinguished. bta.bg

What business should keep in mind

The aim of the changes is to speed up the examination of applications. However, the adoption of the amendments does not in itself mean that all the accumulated delays have already been cleared.

When preparing documents, it is worth checking the company’s details, the set of annexes and the status of previously filed applications in advance. This will help to avoid additional delays caused by errors or missing documents.
