Publishing Annual Financial Statements and Redenominating Capital into Euro: a Guide for Owners of Bulgarian Companies in 2026
For owners of Bulgarian companies, the summer and autumn of 2026 are dominated by extensive reporting and by adapting their business to the euro area. Many entrepreneurs are asking a reasonable question: how do you correctly file your annual financial statements (GFO) and comply with the legal requirement to convert capital into euro?

Let us look at who is required to publish statements, how the redenomination procedure works and how these two tasks can be combined efficiently.
Publishing annual financial statements in 2026: who is required to do it?
Every year, operating Bulgarian companies are required to publish their annual financial statements (GFO/GDO) in the Commercial Register (Търговски регистър).
Who is required to do it: All commercial companies (OOD, EOOD, AD) that carried out any activity in the reporting year (2025). If the company entered into transactions, paid account maintenance fees, rent or a domain fee, statements must be filed.
Who does NOT need to file annual financial statements: “Dormant” companies (with no activity), if they have already submitted a one-off declaration of inactivity in previous years. If the company became “dormant” for the first time in 2025, a Декларация за липса на дейност is filed instead of the annual financial statements by 30 June 2026.
Deadline for publishing annual financial statements in 2026: 30 September.
Redenomination of capital: what has to be done before the end of the year?
As of 1 January 2026, Bulgaria has officially adopted the euro. The Commercial Register has already converted the lev share capital of all companies into euro ex officio (automatically) at the official rate (1.95583 leva to 1 euro).
BUT this automatic step does not change your internal documents. The Law on the Introduction of the Euro (ZVERB) requires all companies to update their constitutive instruments by 31 December 2026:
Convene the owners / adopt a decision of the manager.
Recalculate each co-founder’s shares in euro and euro cents under the rules of mathematical rounding.
Approve a new version of the Articles of Association (Дружествен договор) or the Statutes.
Submit the amended document for publication in the Commercial Register. No state fee is charged for the euro-related document exchange procedure itself.
💡 How to combine the two and save money?
Filing your annual financial statements in the summer or autumn is the perfect occasion to close both tasks at once. You can submit the updated articles with capital in euro at the same time as the financial statements, saving on lawyers’ fees and notarised powers of attorney and avoiding the pre-New Year rush in December.
